General Terms of Sale:
1. Pricing :
a. Any particular technical requirements may be sought for special estimates. The parties must agree on any additions/deletions to the contract.
b. The applicable taxes and their rates are specified in the preceding quotation. In the event of a change in tax structure, the final invoice will reflect the taxes and rates at the time of delivery of the goods. During the project's execution, no interim notification shall be delivered.
c. Minor modifications to the size / design parameters will not affect the quoted price/confirmed order.
d. However, if the size / design parameters significantly alter, modified prices will be charged, increasing the final bill.
e. From the date of quotation, DIMORE's prices are applicable for 15 days. The items, quantities, and prices listed in this quotation are approximate estimates based solely on the client-supplied drawings/BOQ or fundamental information. The prices are applicable to dimension variations of no more than +/-50mm per item for the aforementioned products. In the event that the aforementioned characteristics—such as design (elevation), system (products), quantity, and size—are modified, unit rates must be adjusted accordingly. In accordance with the details and specifications of the item on the production sheet and proforma invoice, payment is due. The client must amend the order within two days of receiving the Proforma invoice/Quotation in the event of a quantity increase or decrease; otherwise, DIMORE will provide and charge for the items/information specified in the Proforma invoice/Quotation.
2. Payments :
a. Payments for the Estimated Cumulative Work must be made in advance of 100 percent of the measured supply windows. Work shall
commence upon receipt of the amounts mentioned above / or upon the credit of the check.
b. The quotation price will be valid within a maximum of 15 days from the date of the quotation.
c. It is clearly understood that the product covered by this order/contract is customized for you, and cancellation of the order/contract is not possible once it has been finished. However, if you cancel the contract, company has right to seek cancellation fees per the contract's conditions.
3. Fabrication :
a. The customer understands the comprehensive drawings, specs, and functionality of the product. Providing consent on any of the above will be the final approval for manufacturing. This signed document/mail approval will be referred to as the acceptable contract between DIMORE and the Customer.
b. Any modifications to the design/specifications of doors and windows from those approved in the approved quotation supplied by DIMORE / confirmation of order must be communicated in writing by the customer before final measurement or fabrication.
c. Suppose the customer changes the design/specifications after the doors and windows have been fabricated to the customer's authorized size/design. In that case, the customer shall bear the cost of such changes on repair/new fabrication. Any window thus created may be retained by the client.
4. Delivery :
a. Minimum four to six weeks from the date of advance payment and order confirmation, whichever is later.
b. Outside of Ahmedabad, the customer is responsible for the actual cost of transportation. Packing of items may be
requested and will be paid separately.
c. If the customer does not accept the manufactured goods within five days of the specified delivery date, warehouse costs equal to 2% of the order value each week will be imposed.
d. Upon receiving the products at the site, the customer will assume full responsibility. DIMORE shall not be liable for the safety/security of the items delivered to the customer's location.
5. Customer responsibility after delivery :
a. The buyer will inspect the goods delivered by DIMORE within three days of receipt and notify DIMORE in writing of any deviations from the approved drawings / specifications immediately but no later than seven days after receiving the material at the customer's site.
b. If DIMORE does not receive the above-mentioned written information within seven days of the goods being delivered to the customer's site, no complaint/claim for deviations/damage will be entertained.
c. The material should be kept in customer custody in a safe place until installation starts. The customer will bear any damage done by other working parties on site.
d. The customer shall make the site available exclusively for carrying out the said works until its due completion. All deadlines for work completion are subject to the customer handing over the site. So, it can suffer heavy damage from mortar, cement work, etc. This necessitates that our windows and doors be fitted after the end of construction work and when the fit-out work is started.
6. Installation :
a. It is highly recommended to protect each installed window by placing packing by the customer after successful installation if other jobs are parallel.
b. After installation, handover sheets are to be signed by the customer with feedback to ensure mutual betterment.
c. The customer shall provide all necessary electrical connections for installation on each building floor.
d. Scaffolding, if required, shall be the customer's responsibility.
e. For installations outside Ahmedabad, rail/road transportation and hotel and boarding for the installation supervisor/workers are provided free of charge.
f. Windows and doors are complete with all necessary hardware and accessories. Customer custody of material should be maintained in a secure location until installation begins. The customer is responsible for any damage caused on-site by other working parties.
7. Warranty :
1. Lifetime Maintenance Warranty :
a. Dimore System Aluminum Windows come with a lifetime maintenance warranty against manufacturing defects, ensuring continuous support and service for the entirety of their lifespan.
2. Powder Coating and Wooden Finishes Warranty :
a. Powder Coating Warranty: Enjoy peace of mind with a 15-year warranty on the powder coating of your windows. This warranty covers issues related to weather resistance, color consistency, and overall durability
b. Wooden Finishes Warranty: For wooden finishes, Dimore System provides a 10-year warranty, ensuring the longevity and aesthetic appeal of your windows
3. Operational Hardware Warranty :
a. The operational hardware of Dimore System Aluminum Windows is backed by a robust 10-year warranty against manufacturing defects. This covers the functionality and performance of all hardware components, providing assurance in the long-term reliability of your windows.
4. Warranty for Stick-on Georgian Bar :
a. We do not provide any type of warranty on Stick-on Georgian bars.
8. Pre-Requisites for installation of Windows:-
1. Ensure that all interior and exterior walls, excluding the inside POP, are thoroughly plastered.
2. Plaster jambs, sills, and soffits to create a uniform and finished appearance.
3. Complete the flooring, with the exception of areas where windows must be fitted.
4. Prepare smooth openings to facilitate the installation process.
5. Prior to installation, ensure the base and top of the window openings are water-leveled, and the sides are plumb vertically.
6. The sill width should exceed the width of the window for optimal installation.
7. Make sure the installation opening is accessible from the interior for a seamless installation process.
8. Guidelines for Grills:
a. Install exterior-facing grills before fitting horizontal slider windows.
b. For casement windows, consider using a screw-type grill after the window installation.
9. Schedule installation before applying the final coat of paint. Apply at least one coat of paint before initiating the installation process. Ensure that scaffoldings/bracing do not obstruct window openings intended for installation.
9. Force Majeure:
DIMORE shall have no liability for any delay or failure to perform its obligations under the agreement / PO caused by Force Majeure occurrences. In such a scenario, DIMORE will notify the client of the occurrence of the Force Majeure event and will do everything feasible to fulfil its obligations. Force Majeure occurs when a party is unable to perform its duties under this agreement due to an unforeseen event beyond its control, including but not limited to war, national emergency, flood, earthquake, strike, or lockout.
